Customer-facing data protection addendum for business customers that require written processor terms.
1. Scope
This Data Processing Addendum forms part of the agreement between Tanero and the customer where Tanero processes personal information on the customer’s behalf in connection with the Services.
2. Roles
The customer determines the purposes and lawful basis for processing Customer Data. Tanero processes Customer Data only to provide, secure, support, maintain, and improve the customer-facing Services, comply with documented instructions, and meet legal obligations.
3. Customer Instructions
The agreement, product configuration, connected permissions, support requests, and lawful written instructions constitute the customer’s documented instructions. Tanero is not required to follow instructions that would violate law, security obligations, or the rights of others.
4. Confidentiality
Personnel authorized to process Customer Data must be subject to confidentiality obligations and receive access only according to role and business need.
5. Security
Tanero will maintain commercially reasonable administrative, technical, and organizational safeguards appropriate to the sensitivity of Customer Data and the nature of the Services.
6. Authorized Service Providers
Tanero may use qualified service providers to support the Services. Tanero remains responsible for requiring appropriate confidentiality and data-protection obligations from providers that process Customer Data on its behalf.
7. International Processing
Customer Data may be processed outside the customer’s province or country where necessary to provide the Services, subject to applicable law and appropriate safeguards.
8. Assistance
Taking into account the nature of processing and information reasonably available, Tanero will provide reasonable assistance with verified privacy requests, security incidents, and regulatory inquiries relating to Customer Data. Additional work outside standard support may be chargeable if disclosed in advance.
9. Security Incidents
Tanero will investigate confirmed unauthorized access to Customer Data and notify the customer where required by law or contract, without unreasonable delay after confirmation and assessment.
10. Return and Deletion
Upon termination or verified request, Tanero will delete or return supported Customer Data according to the Privacy Policy, product capabilities, legal obligations, security needs, and backup-retention cycles.
11. Audits and Information
Tanero may satisfy reasonable audit requests through current security documentation, questionnaires, certifications, or summaries. On-site audits require prior written agreement, confidentiality protections, reasonable scope, and reimbursement of extraordinary costs.
12. Liability
Liability under this Addendum is subject to the limitations and exclusions in the Terms of Service unless mandatory law requires otherwise.
13. Changes
Tanero may update this Addendum to reflect legal, technical, or operational changes. Material changes will be communicated by reasonable notice where required.
